Terms of service

Each customer declares that, prior to placing an order, they have taken note of these general terms and conditions and have expressly accepted them. Specific purchase conditions shall prevail over the general terms and conditions in the event of contradictions, inconsistencies or deviations.

Each customer may choose between three languages for the processing of their order, namely Dutch, French and English. The language chosen by the customer shall be used for the processing of the transaction.

Products

We offer lighting products, ranging from lighting fixtures to lamps.

Orders

Orders shall only become final upon express acceptance by the company. The company reserves the right to refuse an order or to limit its execution in accordance with its capabilities, without giving rise to any compensation.

Upon request, the customer may obtain a written confirmation of the order.

The risk of loss or damage to the goods passes to the customer at the moment when the customer, or a third party designated by the customer, physically takes possession of the goods.

Deposits paid on orders placed in our showroom are non-refundable in accordance with Article 1590 of the Belgian Civil Code. If a deposit (“earnest money”) has been paid in connection with a promise of sale, either party may withdraw from the agreement: the party who has paid the deposit by forfeiting it, and the party who has received the deposit by returning double the amount.

Any shipping costs shall be borne by the customer.

The company makes every effort to present the products as accurately as possible. However, slight variations in colour, dimensions or finish may occur without constituting a lack of conformity, provided that such variations are minor and inherent to the product or the materials used.

Prices

The prices indicated online are binding, except in the case of a material error.

Prices on our website always indicate whether they are inclusive or exclusive of VAT. Orders are always invoiced including VAT, except for shipments outside the European Union or for customers with a valid VAT number outside Belgium. In such cases, no VAT is payable by the customer.

Delivery Times and Transport

The delivery periods indicated are purely indicative and are provided on the basis of the information available at that time. The company undertakes to perform the order within the agreed period or, failing this, no later than 30 days after confirmation of the order, except in cases of force majeure or exceptional circumstances.

If the company fails to fulfil its delivery obligation within this period, the consumer must grant it an additional period appropriate to the circumstances. Upon expiry of this additional period,

the consumer shall have the right to terminate the agreement free of charge, in accordance with the applicable legal provisions.

For products that are custom-made or not held in standard stock, such as designer lighting, longer delivery times may apply.

If more than two months have elapsed since the order was placed, the order may be cancelled in writing. Business customers do not have this right of cancellation.

For deliveries outside the European Union, import duties, taxes and other charges may apply. These shall always be borne by the customer and fall outside the control and responsibility of the company.

The delivered goods shall remain the property of the seller until full payment of the invoices has been made.

In the case of shipments abroad, PerfectLights BV shall act as exporter and the recipient as importer. Any local recycling contributions must be declared by the recipient. PerfectLights BV cannot be held responsible for declaring local or national recycling contributions.

Retention of Title

When the customer opts for collection in store, they will be notified by email as soon as the order is fully available. From that moment, the customer shall have a period of 14 calendar days to collect the order.

When the customer opts for delivery, the order must be paid in full prior to shipment. The order will be reserved for a period of 14 calendar days from the moment the customer has been informed that the order is ready for dispatch.

If the customer fails to collect the order or to make payment within this period of two weeks, we reserve the right to return the ordered products to stock and to cancel the order.

Payments and Refunds

Payments, refunds and invoicing are always made in euros.

In the event of a refund, the original amount paid will always be refunded in euros.

If a currency other than euros is used in your country, the refund will be carried out in accordance with the exchange rate applicable at the time of the refund.

We shall not be liable for any exchange rate fluctuations that may occur between the time of purchase/payment and the time of refund.

Right of Withdrawal

At PerfectLights.be, the consumer may, in the case of a distance contract, exchange or return a product within 14 days after receipt of the product, without penalty and without giving any reason, in accordance with European withdrawal rights.

Providing a reason for the return is not mandatory but may help us improve our service and product offering. Return shipping costs shall always be borne by the customer.

Before returning a product, it is advisable to contact our customer service by email (info@perfectlights.be). You will then receive a return document, enabling faster processing once the return arrives at our warehouse.

Conditions:

An item will only be accepted for return if it complies with all of our return conditions. Any deviation may result in refusal or a reduction in the value of the refund:

  • Products must be complete (including all accessories, manuals and documentation).
  • Products must be undamaged and in their original, undamaged packaging. Products may show no signs of use other than those necessary to inspect and test them as would be possible in a physical store. If you install or use the products, this implies acceptance of the products.
  • The original packaging must always be placed within at least one outer packaging.
  • The original packaging must not be marked, altered or damaged in any way (e.g. labels, stickers, writings, etc.).
  • Items purchased in our showroom and approved as such by the customer at the time of purchase cannot be returned. This also applies to items that have already been exchanged.
  • Once you have received your return document, you have 14 calendar days to send your return shipment to us.

Exceptions:

The right of withdrawal does not apply to:

  • Products made to measure or custom-made, or clearly intended for a specific person;
  • Products that are used, damaged or incomplete;
  • Business customers (i.e. customers with a company name and/or VAT number);
  • Orders resulting from quotations or requests for custom-made products or products not held in stock at the customer’s request;
  • Orders delivered outside the 27 EU Member States, Iceland, Liechtenstein and Norway.

Procedure for withdrawal and return:

Follow the steps below if you wish to withdraw from your purchase and return your order:

  1. Notify us via the standard form or by email within 14 days after receipt of your order that you wish to return the product. Always mention your customer number, invoice number and the products you wish to return. Providing a reason for the return is optional but may help us improve our service.
  2. Return the product at your own cost and risk to the following address:

If the product is lost or damaged during the return shipment, this remains the responsibility of the customer and PerfectLights BV cannot be held liable.

For returns from outside the European Union, you must always use an official courier service (e.g. UPS, TNT, DHL). Do not use standard postal services. If you do, you remain responsible for all customs formalities.

  1. Once the return shipment arrives at our warehouse, we will verify as soon as possible whether the product complies with the return conditions and inform you of our decision by email.
    If the product complies with the return conditions, the full purchase amount will be refunded. Return shipping costs remain at the expense of the customer.
    If the product only partially complies with the return conditions (e.g. still suitable for resale), the return may be accepted, but a depreciation fee may be charged.
  2. If the product does not comply with the return conditions, it remains your property and must be collected within 14 calendar days. If requested, we may return the product to you, at your expense, via a transport company.
    If a refused return remains in our warehouse for more than 14 calendar days, you will be notified by email that the product is no longer under our responsibility. Storage costs may then be charged.

Warranty

The standard warranty period is two years for lighting fixtures. This does not apply to normal wear and tear or consumables (such as light sources).

The warranty for visible defects is excluded from the moment the goods are accepted at our warehouse. The warranty is limited to the replacement of defective goods with equivalent items. Any consequential damages and any costs, such as transport and insurance, shall be borne by the buyer. In the case of a consumer, replacement shall be free of charge.

The warranty shall be void if the maintenance instructions or manuals provided with the goods have not been followed, if the product has been used improperly, or if the customer has carried out modifications without our express prior consent.

The seller shall never be held liable for any non-written commitments.

The seller shall not be held liable for damage to devices or installations caused by weather conditions such as storms, snow, hail, water infiltration, lightning, etc.; defects caused by power surges in the electricity network; defects resulting from incorrect installation or connection of devices and wiring by the customer; wear or defects resulting from negligent maintenance or overheating due to the use of bulbs with excessively high wattage; or indirect costs resulting from the unavailability or malfunction of the defective product

Conformity and Warranty

  1. The seller warrants that the goods and/or services comply with the agreement, the specifications stated in the offer, the reasonable requirements of soundness and/or usability, and the legal provisions and/or government regulations in force at the time the agreement was concluded.
  2. Any warranty arrangement offered by the seller, manufacturer or importer shall not affect the rights and claims that the consumer may assert against the seller, on the basis of the law and/or the distance contract, in the event of a failure by the seller to fulfil its obligations.

Complaints

Any complaint relating to a conformity defect must be notified to us by registered mail within 5 working days after delivery. After this period, the goods shall be deemed to have been accepted. Packaging materials must be retained for inspection.

If the customer refuses to accept the goods, they will be stored at the customer’s expense and risk until full payment has been made.

The consumer must inform the seller of any conformity defect within two months from the day on which the consumer discovered the defect.

The consumer shall receive, within 5 working days, a proposal from the seller for the resolution of the dispute.

Payment Terms

Our invoices are payable in advance to bank account IBAN BE24001921564138 – BIC GEBABEBB, or in cash/Bancontact upon collection at our showroom.

Failure to pay an invoice on its due date shall result in the immediate enforceability of all outstanding invoices, including those not yet due, and entitles us to suspend or cancel all pending orders.

In the event of full or partial non-payment of the debt after the expiry of the period referred to in Article XIX.2, §1 of the Belgian Code of Economic Law, the consumer shall be liable for:

  • Default interest at the reference interest rate increased by eight percentage points, as provided for in Article 5, second paragraph, of the Act of 2 August 2002 on combating late payment in commercial transactions; and
  • A fixed compensation amounting to:
    • EUR 20 if the outstanding balance is less than or equal to EUR 150.00;
    • EUR 30 plus 10% of the amount due on the tranche between EUR 150.01 and EUR 500.00 if the outstanding balance is between EUR 150.01 and EUR 500.00;
    • EUR 65 plus 5% of the amount due on the tranche exceeding EUR 500.00, with a maximum of EUR 2,000.00, if the outstanding balance exceeds EUR 500.00.

In the event of full or partial non-payment of the debt on the due date, the professional buyer shall, by operation of law and without prior notice of default, be liable for default interest at the contractual rate of 10% per annum, as well as a lump-sum compensation equal to 10% of the invoice amount.

    All data collected on this website is used solely to improve our services and to inform you about our products and services.

    Under no circumstances will this data be transferred, sold, or rented to third parties.

    Statistics: Statistics are collected regarding the visitors of the PerfectLights.be website. The following data may be recorded for this purpose:

    • the domain (e.g. .BE, .COM, .NET, etc.);
    • the host;
    • the date, time and duration of the visit;
    • the pages viewed during the visit;
    • the operating system used (e.g. Windows, Linux, etc.) and the web browser (e.g. Internet Explorer, Safari, etc.);
    • how you accessed the website (e.g. via a search engine or by entering the address directly);

    Applicable Law and Competent Courts

    Belgian law shall apply.

    In the event of any dispute, the courts of the district of Dendermonde or the Justice of the Peace of Hamme shall have exclusive jurisdiction.

    Out-of-Court Dispute Resolution

    In the event of an out-of-court settlement of a dispute, the Consumer Ombudsman Service of the FPS Economy (Federal Public Service Economy) is competent to receive any request for the out-of-court resolution of consumer disputes. It may handle the request itself or forward it to a qualified entity.

    'My account' Data

    All data displayed in the “My Account” section is provided for information purposes only and reflects the data as recorded in our ERP system.

    This data is updated regularly, several times per day.

    In the event of any inconsistency between the data displayed in “My Account” and the data recorded in the ERP system, the data in the ERP system shall prevail.

    Severability

    If one or more provisions of these general terms and conditions are declared wholly or partially null, invalid or unenforceable, this shall not affect the validity and enforceability of the remaining provisions.

    Any provision that is null, invalid or unenforceable shall be replaced by a valid provision that most closely reflects the economic and legal purpose of the original provision.
